KUALA LUMPUR, 24 April 2014 – UEM Sunrise Berhad (“UEM Sunrise”), (“formerly known as UEM Land Holdings Berhad”), following its Sixth Annual General Meeting (“6th AGM”) today expressed confidence that it will be able to build on its performance for its financial year ended 31 December 2013 (“FY2013”) to deliver continued growth to its shareholders in the current financial year.

For FY2013, total revenue improved by 26% to RM2.4 billion compared to the financial year ended 31 December 2012 (“FY2012”) revenue of RM1.9 billion while profit after tax and minority interest (“PATAMI”) increased by 29% from RM448.3 million to RM579.1 million in FY2013. Property development sales also increased by 47% to RM3.0 billion in FY2013 from RM2.0 billion in FY2012 and unrecognised revenue as at 31 December 2013 stood at RM3.4 billion compared to RM2.3 billion a year earlier.

Dato’ Izzaddin Idris, Executive Director of UEM Sunrise said that UEM Sunrise’s performance for FY2013 was geared towards sustainability. “While 2014 is widely expected to be a difficult year for the property sector in light of challenging headwinds including the cooling measures implemented by the Government and rising cost of labour and construction materials, our unrecognised revenue of RM3.4 billion as at 31 December 2013, which will be recognised over the next two to three years as physical progress of our development projects continues, will help to cushion the impact on the Company in 2014”.

Dato’ Izzaddin also highlighted several factors that differentiates UEM Sunrise. “Our land bank in Nusajaya is a key strategic advantage as it has been carefully master planned to offer a unique lifestyle with readily available infrastructure and catalyst developments such as Legoland, EduCity, Afiat Healthpark, Kota Iskandar and Puteri Harbour that are not available in other locations in Iskandar Malaysia. Our early entry into Nusajaya also provides us with a price advantage and greater flexibility to cater for more product variety due to our sizable land bank.”

In addition, Dato’ Izzaddin said that UEM Sunrise is also focusing on other key areas to ensure the company’s continued growth. “For 2014, one of our key initiatives is to embrace our own ‘Service DNA’ and to further enhance the company’s focus as a Customer Centric Organisation with the purpose of developing loyal followers, repeat buyers and advocates of our products. We have introduced our strategic service intent – ‘PRInSip’, an acronym for Personalised, Reliable, Innovative and Simple which is currently being internalised amongst all the employees. We are also continuously looking to innovate and improve our processes, systems, and project execution to maintain our position as one of the market leaders in Nusajaya”.

UEM Sunrise has also lined up several projects aimed at the mid-market and affordable homes segment which are targeted for launch in 2014 in line with current market demand. During an event on 1 March 2014, UEM Sunrise pledged to continue its commitment in building affordable housing in Nusajaya, Iskandar Malaysia by pre-launching 351 units located in Nusa Bayu and another 10,000 more affordable housing which will be launched in phases in Gerbang Nusajaya from this year onwards. The Company also expects that Serene Heights, a mid-market residential development located in Bangi, will draw strong interest from buyers when it is introduced to the market towards the middle of 2014.

In line with its vision to become a regional property player, UEM Sunrise has also completed the acquisition of two prime freehold land parcels in the Central Business District (“CBD”) of Melbourne in October 2013. The company plans to redevelop the two sites into premium residential towers with retail components and have appointed two leading architects, COX Architecture and Elenberg Fraser to design the developments on Mackenzie Street and LaTrobe Street respectively.

Dato’ Izzaddin also added that UEM Sunrise is continuing to explore strategic opportunities to expand its presence and land bank. “Our joint venture with the Kuala Lumpur Kepong group which was announced in February 2014 also provides us with a new template for pursuing our expansion plans where we leverage on the value of our existing lands in Nusajaya to open up new opportunities elsewhere.”

KUALA LUMPUR, 18 April – The Board of Directors of Faber Group Berhad (Faber) has today accepted the RM1.15 billion offer to acquire the Asset & Facility Management (AFM) businesses of single largest shareholder, UEM Group Berhad (UEM Group).

Faber today entered into a conditional share sale agreement with UEM Group in relation to the proposed acquisition which will see it potentially acquiring UEM Group’s wholly-owned AFM companies namely, Projek Penyelenggaraan Lebuhraya Berhad (PROPEL) and Opus Group Berhad (Opus). 

Present at the signing and representing Faber was its Chairman and Independent Non-Executive Director, Dato’ Ikmal Hijaz Hashim. UEM Group was represented by Dato’ Izzaddin Idris, the Group Managing Director/Chief Executive Officer.

The proposed acquisition of PROPEL is for a total consideration of RM500 million which will be satisfied via a combination of cash payment of RM250 million and issuance of 125,000,000 new Faber shares at the issue price of RM2.00 per share.  PROPEL is an infrastructure maintenance company with a strong track record and experience in highway maintenance.

Opus – an asset development and asset management provider of transportation infrastructure as well as built environment with operations in Malaysia and overseas – is to be acquired for a total consideration of RM651 million. The acquisition will be entirely satisfied via the issuance of 325,500,000 new Faber shares at the issue price of RM2.00 per share.  

The proposed acquisitions will enable Faber to expand its AFM business which is currently focused in the healthcare sector. Upon completion, Faber will be transformed into a total Asset Development & Asset Management company with expertise and presence in the healthcare, infrastructure and commercial sectors.

It will also enable Faber to cement its position as the largest AFM company in Malaysia and bolster its revenue base by leveraging on the strength of the enlarged group to create more business opportunities for the company both locally and at the international level.

“With the agreement signed, we will commence the process of developing a company that is slated to be a regional champion for AFM services. We aim for the company to gain international recognition, achieve sustainable growth and ultimately be the clear leader in the AFM industry as we plan to offer an unparalleled array of services covering the total asset value chain across multiple sectors and industries,” said Dato’ Izzaddin.

With the acquisition, Faber will garner a larger presence and allow potential synergies to be extracted such as expertise, and market know-how over a single cost platform from sharing of common resources such as project managers and personnel with the same or similar skillsets.

UEM Group had submitted the proposal to the Board of Faber on 5 August 2013 and on 6 September 2013, the Board had accepted to participate in the proposal.

Upon the successful completion of this corporate exercise, which is expected to take place by third quarter of 2014, UEM Group will increase its direct equity interest in Faber from the current 34.29 percent to approximately 70 percent.

The offer is subject to various approvals including the shareholders of Faber, Securities Commission, and other relevant authorities.

    NUSAJAYA, 12 April 2014 - UEM Sunrise Berhad (“UEM Sunrise”), formerly known as UEM Land Holdings Berhad, the master developer of Nusajaya, one of the five key nodes of Iskandar Malaysia, through its corporate social responsibility initiatives programme, successfully organised an inaugural motivational talk for its PINTAR schools’ parents at Dewan Teater, Bangunan Dato’ Jaafar Muhammad, Kota Iskandar, today.

    This year, the motivational session was divided in two phases – students as well as their parents with a total number of 120 participants. The first phase was the motivational camp that was conducted on 22-24 March focusing on students aged 16-17 years old. Whilst, the second phase was conducted today, with the same group of students as well as their parents.

    The one day motivational talk aims at developing stronger student-parent relationship and at the same time to encourage greater understanding in managing student-parent and teachers expectations.

    The one day motivational talk was filled with life-sharing experiences by the students as well as tips and study techniques. Also shared during the talk was, speed memory technique where the students were demonstrated to memorise 60 items in order, then recap the items backwards and randomly name the item based on the number and vice versa.

    Muhamad Nor Fitri bin Norizan 17, from SMK Gelang Patah said, “I tried to imagine the objects, created the situation that linked to each of the objects and memorise the words in row followed with sequence. It is a new experience for me and this is the first time I’m learning the skill.”

    “It will certainly help me to memorise formulas and do my revision. I will definitely share this unique technique with my other friends in school”, added Muhamad Nor Fitri, who was also the ‘Penghulu’ or chief during the earlier Motivational Camp.

    “I visualise the items in a block of five, and repeat the flow in my mind. It was pretty easy and I will use this technique in my study especially in science and history subject”, said Ziana binti Harun, 17 from SMK Gelang Patah.

    Norizan bin Ali 46, father of Muhamad Nor Fitri said, “This is the first time I attended a talk that involves parent and I feel that it is a good sharing session in order to inject moral values as well as to understand the needs of our teenagers. It is a refreshing input for us in daily do’s and don’t’s and at the same time to give continuous moral support to our children. I hope this programme will be organised again in the future so we can bridge the students-parents gap.”

    “I was unable to hold back my tears just now. It was an eye-opener for us parents, to really understand what the teenagers need, especially love and affection. It was great to be able share experience with other parents as well and I would like to thank UEM Sunrise for their vital role in organising numerous CSR initiatives for our children,” said Salinah binti Jelani 46, mother to Ziana binti Harun.
