Shareholders Also Voted In Favour Of RM1.03 Billion AMS Agreement With KPSB

KUALA LUMPUR, 26 June 2014  At an Extraordinary General Meeting (“EGM”) held today, shareholders of Faber Group Berhad (“FGB”) voted in favour for the RM1.15 billion acquisition of Projek Penyelenggaraan Lebuhraya Berhad (“PROPEL”) and Opus Group Berhad (“OGB”) from UEM Group Berhad.

The Company’s shareholders also gave their consent on the RM1.03 billion Asset Management Services (“AMS”) agreement entered by FGB’s wholly-owned subsidiary, Faber Medi-Serve Sdn Bhd (“FMS”) with Konsortium Prohawk Sdn Bhd (“KPSB”) which will see it providing AMS for Women and Children’s Hospital (“WACH”), located in Kuala Lumpur over a period of 27 years.

Acquisition of PROPEL and OGB

The EGM’s positive outcome will enable FGB to expand its AFM business which is currently focused in the healthcare sector. Upon completion of the merger and integration, which will see FGB leveraging on the potential synergies such as expertise, market know-how and cost derived from sharing of common resources of both PROPEL and OGB, FGB will be transformed into a total Asset Development & Asset Management company with expertise and presence in the healthcare, infrastructure and commercial sectors.

It will also position FGB as the largest AFM company in Malaysia and bolster its revenue base by leveraging on the strength of the enlarged group to create more business opportunities for the company both locally and internationally.

FGB will acquire PROPEL for a total consideration of RM500 million to be satisfied via a combination of cash payment of RM250 million and issuance of 125,000,000 new FGB shares at the issue price of RM2.00 per share. PROPEL is an infrastructure maintenance company with a strong track record and experience in highway maintenance.

While OGB – an asset development and asset management provider of transportation infrastructure as well as built environment with operations in Malaysia and overseas – will be acquired for a total consideration of RM651 million. The acquisition will be entirely satisfied via the issuance of 325,500,000 new FGB shares at the issue price of RM2.00 per share.

The EGM also saw the shareholders approved for FGB to be exempted from extending a Mandatory Offer on the remaining FGB shares not already held by FGB for the proposed acquisition of PROPEL and OGB.

Pursuant to the above, the resolutions tabled at the EGM has been carried and the deal is expected to be concluded in October 2014, subject to the approval from the Bursa Malaysia, Securities Commission and other regulatory authorities.

AMS Agreement with Konsortium Prohawk Sdn Bhd

During the EGM, shareholders of FGB also voted for the entry into an AMS agreement between KPSB and FMS.

The agreement will see FMS providing AMS for the WACH located in Kuala Lumpur. Services include Facility Engineering Management Services; Biomedical Engineering Maintenance Services; Cleansing; Linen & Laundry Services; Healthcare Waste Management Services; Centralised Management Information System; and to attain, maintain and upgrade ISO 9001:2008, ISO 14000, ISO 50001 and ISO 13485 certifications.

Under the agreement, total fees that will be accorded to FMS for these services is approximately RM1.03 billion over a period of 27 years. FGB’s participation will strengthen the Company’s Integrated Facilities Management (IFM) businesses as well as enable it to capitalise on its current resources and investments cumulated over the years to achieve greater competencies and efficiencies in its IFM operations. 

WACH is a 600-bed, 12-storey hospital located within the vicinity of Hospital Kuala Lumpur. Once completed, it will replace the current Maternity Hospital Kuala Lumpur ward and will have modern facilities such as creche/nursery, therapy services, specialist clinic, child development centre, paediatric specialist clinics, women health centre, neonatal intensive care units, obstetric wards, emergency department, multi-level car park, cafeteria, shops and a 20-room medi-hotel.

The AMS Agreement will take effect upon the Concession Agreement becoming effective in the second half of 2016 which is when construction of WACH is expected to complete.

JOHOR, 12 June 2014

– Asia’s leading business space solutions provider, Ascendas Pte Ltd, and UEM Sunrise Berhad (“UEM Sunrise”), today celebrated the groundbreaking of the Nusajaya Tech Park, an integrated tech park located at Gerbang Nusajaya, within Nusajaya in Iskandar Malaysia. The ceremony was graced by Malaysia’s Minister of International Trade and Industry, Y.B. Dato’ Sri Mustapa Mohamed, and Singapore’s Minister of Trade and Industry, Mr. Lim Hng Kiang. 

Strategically located just minutes from Malaysia-Singapore Second Link Expressway, the 210-hectare (519 acres) integrated tech park will be developed in phases over nine years. The start-up phase spanning 28 hectares (71 acres) of Ready-Built Facilities and land plots for Build-to-Suit developments will be completed by 2016. When fully completed, the park is expected to support some 200 enterprises. At the first release, the park has received 40% pre-commitment for the Ready-Built facilities in the start-up phase. 

At the event, major precision engineering and manufacturing corporation, Sanwa Group of Companies (“Sanwa”), leading supply chain management and logistics partner, YCH Group, and Malaysia’s leading integrated information communication technology (ICT) and business process outsourcing (BPO) services provider, VADS Berhad, a wholly-owned subsidiary of Telekom Malaysia, participated in a signing ceremony indicating their interest in Nusajaya Tech Park. Sanwa is exploring to take up a 72,000 sq ft facility for their precision engineering and manufacturing operations. YCH Group has teamed up with Nusajaya Tech Park to explore developing a state-of-the-art supply chain facility operated by the group within Iskandar Malaysia. VADS Berhad is exploring to set up a data centre in the park. 

A joint venture development by Ascendas and UEM Sunrise, Nusajaya Tech Park leverages on the two partners’ expertise and features a masterplan that focuses on effective and functional land use. An ecologically-advanced design enabled the Park to achieve the Merit Award in the Master Planning Category at the Singapore Landscape Architecture Awards 2013. The Park also set a new benchmark as the first tech park in Malaysia to be awarded Singapore’s Building and Construction Authority (BCA)’s Green Mark for Districts – Gold (Provisional) Award.

A proposed rapid transit system within Iskandar Malaysia and a Singapore-Kuala Lumpur high speed rail link are already in the works, strengthening the park’s connectivity and enhancing its international appeal. 

PETALING JAYA, 11 June 2014 - PLUS Malaysia Berhad (PLUS) expects traffic on the North-South Expressway (NSE) on Friday until Sunday to increase due to the end of school holidays. As such, those planning to use the NSE during the upcoming weekend and those heading towards to the Klang Valley are advised to follow the PLUS Travel Time Advisory (TTA) schedule for a smoother journey.

PLUS‘  Chief Operating Officer, Mohammad Fuad Khusairi said, “The TTA, which was issued during the previous festive seasons and peak days has helped to facilitate smoother traffic flow on the highways. As such, those planning to travel on the NSE between 13 to 15 June are advised to follow the TTA.”

TTA is a staggered travelling schedule for various destinations along the North-South Expressway. It is part of PLUS’ strategies to distribute the traffic and reduce traffic congestion on the mainline, rest areas and toll plazas.

KUALA LUMPUR, 1 May 2014 - PLUS Malaysia Berhad (PLUS), in partnership with Titiwangsa Parliament Community Service Centre organised a circumcision ceremony in conjunction with the school holidays at Masjid Jamek Kampung Baru on 1 June.

Fifty children, aged between 5 and 12 years old took part in the event.

According to the PLUS Managing Director, Dato’ Noorizah Hj Abd Hamid, “The event is one PLUS’ line of community programs throughout this year. It gives us the chance to continuously reach out to the surrounding communities and serve public.”

The event was officiated by Titiwangsa Member of Parliament, Datuk Johari Abdul Ghani.

PLUS is also actively carrying out other community service programs, most notably in relations to road safety namely the ‘Malaysians Unite For Road Safety’ (MUFORS) initiative, ‘Respect Your Limits’ safety seminars for heavy vehicle drivers and operators, road safety mural competition for secondary schools, ‘Gerakan Motosikal Pencetus Amalan Keselamatan’ (GEMPAK MUFORS) for youths and so on.

Last year, PLUS simultaneously organized 25 community projects at 25 different locations across the country in conjunction with the PLUS Community Day.
